By accessing or using Hypernetic's platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

Hypernetic provides a marketplace platform that connects sellers of lead magnet templates with buyers. We offer tools for customization, deployment, analytics, and lead management.

3. User Accounts

Registration

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must be at least 18 years old to create an account
• One person or entity may not maintain multiple accounts

Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Buyer Terms

Purchases

• All purchases are final unless otherwise stated
• Prices are subject to change without notice
• You receive a license to use purchased templates as specified
• Refunds may be issued at our discretion within 14 days

License Grant

Upon purchase, you receive a non-exclusive, non-transferable license to use the lead magnet template for your business purposes as specified in the license type (single-use or unlimited).

5. Seller Terms

Template Submissions

• You must own or have rights to all submitted content
• Templates must meet our quality standards
• You grant us a license to display and distribute your templates
• You are responsible for providing accurate performance data

Revenue Sharing

Sellers receive 70% of the sale price, with Hypernetic retaining 30% as a platform fee. Payments are processed monthly for balances over $50.

6. Intellectual Property

All platform content, features, and functionality are owned by Hypernetic and protected by copyright, trademark, and other intellectual property laws.

Sellers retain ownership of their original templates but grant Hypernetic a license to market and distribute them through our platform.

7. Prohibited Activities

You may not:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Resell or redistribute purchased templates beyond license terms
• Engage in fraudulent or deceptive practices
• Harass or abuse other users

8. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind. We do not guarantee uninterrupted access, error-free operation, or specific results from using our platform.

9. Limitation of Liability

Hypernetic shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount you paid us in the past 12 months.

10. Indemnification

You agree to indemnify and hold Hypernetic harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.

11. Dispute Resolution

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

12. Governing Law

These terms are governed by the laws of the State of California, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.
